1. Introduction / Systematics International LTD: This web site
- www.systematics-int.co.uk ("Systematics", "SIL" or "the Site") - is owned and
operated by Systematics International LTD ("SIL"). The Site contains both
open, free-access areas and premium content areas. Access and use of premium content
areas is restricted to users who have registered and paid the appropriate fee as
determined by SIL. The premium content areas of the Site are clearly identified.
SIL reserves the right to suspend or terminate access and use of the Site by users
at any time, with or without giving prior notice. If applicable, notice will be
sent to your e-mail address as notified to SIL. In that event, notice will be deemed
to be served three hours after transmission or posting.
2. Use of Systematics International content and linking to the site:
all material on the Site and any related material that may be sent by E-mail (the
"Content") belongs to Systematics International Ltd, unless expressly stated as
otherwise. You may retrieve and display Content from the Site on a computer screen,
print individual pages on paper (but not photocopy them) and store such pages in
electronic form on disk (but not on any server or other storage device connected
to a network) for your personal, non-commercial use.
Except as expressly set out above, you may not reproduce, modify or in any way commercially
exploit any of the Content. In particular, but without limiting the general application
of the restrictions contained in the preceding sentence, you may not do any of the
following without prior written permission from SIL:
redistribute any of the Content (including by using it as part of any library, archive
or similar service);
remove the copyright notice from any copies of Content made
under these Terms;
create a database in electronic or structured manual form by
systematically downloading and storing all or any of the Content.
Requests to republish or redistribute Content should be addressed to statsteam@systematics-int.co.uk, or requested
by contacting us on the address and telephone number on the Contacts page. If you are requesting republishing
rights by telephone, you must await written confirmation of our permission prior to republishing any data.
If you would like to link a web site to the systematics-int.co.uk Site, please read
and comply with the following guidelines and all applicable laws. Unless otherwise
agreed in writing, a web site that links to SIL
must display an SIL logo and may not remove, distort or otherwise alter the size or appearance of the logo;
must only link to that part of the Site as specified by SIL
may link to, but not replicate, parts of the Content as specified by SIL;
must not create a frame or any other browser or border environment around the Content;
must not in any way imply that SIL, Systematics-int.co.uk
must not misrepresent its relationship with SIL nor present false information
about Systematics International Ltd;
must not use any SIL trade marks displayed on the Site without permission from
SIL;
must not be a web site that infringes any intellectual property or other right
of any person or that otherwise does not comply with all relevant laws and regulations;
must not be a web site that contains content that could be construed as distasteful,
offensive or controversial.
SIL expressly reserves the right to request that any link in breach of these terms
be removed and to take whatever other action it deems appropriate.
3. Registration
On registration, you must provide SIL with accurate, complete registration information
and it is your responsibility to inform SIL of any changes to that information (including
in particular your e-mail address) by e-mailing gwhitbread@systematics-int.co.uk
On registration, you will choose a user name and password.
Each registration is for a single user only. SIL does not permit:
· any other person sharing your user name and password
· access through a single name and password being made available to multiple users
on a network.
Any breach of these conditions will result in termination of the user's access to
premium content areas of the Site.
You are responsible for all use of the Site made by you or anyone else using your
user name and password (collectively, "ID") and for preventing unauthorized use
of your ID. If you believe there has been any breach of security such as the disclosure
or unauthorized use of your ID or any payment information, you must notify SIL immediately
by e-mailing gwhitbread@systematics-int.co.uk.
4. News By E-mail
On registration to the Site, SIL may automatically sign you up to receive certain
news or other information by emails (although you will be given the option to opt-out
of receiving such emails on registration).
5. Premium Content and Site Transactions
Premium Content will be accessible on payment of a registration fee. If SIL (or
its designated agent) does not receive payment authorization from your credit card
clearing service or does not receive payment from your bank, SIL may immediately
suspend your use of the Site.
If your use of the Site is terminated by SIL because you are in breach of these
Terms and Conditions, you will not be eligible to receive any refund of all or part
of your registration fee.
From time to time, SIL may offer the ability to use the Site to purchase products
or services from SIL's third party partners. In that event, your contract for such
products will be with the third party partner and not with SIL.
6. No Warranties, Exclusion of Damages, Limitation of Liability, and Links
The Content is only for your general information and use and is not intended to
address your particular requirements. In particular, the Content does not constitute
any form of advice, recommendation or arrangement by SIL and is not intended to
be relied upon by users in making (or refraining from making) any specific investment,
purchasing, or other decisions. Any arrangements made between you and any third
party named on this Site are at your sole risk and responsibility.
NO WARRANTIES
Because of the number of sources from which SIL obtains content and the nature of
electronic distribution via the Internet, SIL does not give any warranties in respect
of the site, content, software or services available through the site (collectively,
"site services"). In particular, the site services are provided on an "as is" and
"as available" basis. While SIL will try to ensure that the site services are free
from infection by viruses or anything else that has contaminating or destructive
properties, SIL makes no warranty to this effect.
NO INCIDENTAL OR CONSEQUENTIAL DAMAGES
To the full extent allowed by applicable law, you agree that IMIL will not be liable
to you and/or any third party for any consequential or incidental damages (including
but not limited to lost profits, loss of privacy or for failure to meet any duty
including but not limited to any duty of good faith, lack of negligence or of workmanlike
effort) or for any other indirect, special, or punitive damages whatsoever that
arise out of or are related to the site services or to any breach of the terms by
SIL.
LINKS
The Site contains links to other World Wide Web sites provided by independent third
parties ("Third Party Sites"), either directly or through frames. Where possible,
SIL will make clear where such links are being made, though Third Party Sites may
be CO-branded with SIL and so include the SIL logo. SIL is not responsible for the
availability or content of Third Party Sites and will not be a party to, or in any
way responsible for, any transaction concerning goods or services available from
such Third Party Sites.
7. Privacy Policy
The information that you provide about yourself to SIL will only be used by SIL
in accordance with its Privacy Policy Statement. This includes using your information
for the effective administration of the Site, to communicate with you, and the disclosure
of your information within the Systematics International group of companies and
to selected business partners worldwide. The Privacy Policy Statement does not apply

8. Changes to these Terms and Conditions
SIL reserves the right, at its discretion, to make changes to any part of the Site.
Due to its policy of updating and improving the Site, SIL may wish to change these
Terms (including those relating to your use of the Content). When terms are changed,
SIL will notify users by publishing details of those changes by including them at
the end of these Terms (see "Details of Changes"). If you use the Site after SIL
has published the changes, you are agreeing now to be bound by those changes.
9. Advertising and Sponsorship
Parts of the Site may contain advertising and sponsorship. Advertisers and sponsors
are responsible for ensuring that material submitted for inclusion on the site complies
with international and national law. SIL will not be responsible for any error or
inaccuracy in advertising material.
10. Competitions and Prizes
From time to time SIL may run competitions, free prize draws and promotions on the
Site. These will be subject to additional terms that will be made available at the
time.
11. Choice of Law and Jurisdiction
These Terms shall be governed by, and construed in accordance with, English law.
The parties irrevocably agree that the courts of England shall (subject to the paragraph
below) have exclusive jurisdiction to settle any dispute which may arise out of,
under, or in connection with these Terms or the legal relationship established by
them, and for those purposes irrevocably submit all disputes to the jurisdiction
of the English courts.
For the exclusive benefit of SIL, SIL shall retain the right to bring proceedings
as to the substance of the matter in the courts of the country of your residence
or, where these Terms are entered into in the course of your trade or profession,
the country of your principal place of business.
12. General
You may not assign, sub-license or otherwise transfer any of your rights under these
Terms.
If any provision of these Terms is found to be invalid by any court having competent
jurisdiction, the invalidity of that provision will not affect the validity of the
remaining provisions of these Terms, which shall remain in full force and effect.
Failure by either party to exercise any right or remedy under these Terms does not
constitute a waiver of that right or remedy. Headings in these Terms are for convenience
only and will have no legal meaning or effect.
